# RDCM — RADCOM Ltd: Day-by-Day Forward Read, Tue 2026-08-18 → Fri 2026-08-21

## 1. Identity + current state

"RDCN" resolves to **RADCOM Ltd (NASDAQ: RDCM)**, CIK 0001016838 — Israeli
(Tel Aviv) cloud-native 5G network-assurance software vendor (RADCOM ACE);
anchors AT&T, Rakuten, DISH. Identity confirmed against the 2026-08-17 fleet
profile and SEC EDGAR. No 5G company spells it RDCN/Radcon.

**Thinness warning:** ~$2.2M/day traded means a single $200K order is ~10% of
a normal day. "Movement" here is mostly flow, not information — one determined
seller (see Lynrock) or buyer can be the whole tape, and spreads widen fast.
Vol math below understates jump risk accordingly.

## 2. The proxy fight — largely resolved in May; residual overhang is a seller, not a vote

- **Who/what:** two activist fronts. (a) Zisapel siblings (~14%) + Value Base
  (~5.3%) — joint 13D group ~19.3% (filed Mar 2026) demanding board overhaul.
  (b) Lynrock Lake Master Fund (~19%, largest holder) — 13G→13D conversion
  Feb 2026, pushing strategic alternatives.
- **Resolved:** EGM held **2026-05-20**: agenda approved; **five directors
  resigned, three new directors elected, Sami Totah appointed Chairman**
  (6-K filed 2026-05-27; StockTitan/TipRanks corroborate). The profile's
  "outcome unverified" flag is now closed: **the activists won.**
- **Dated events in the 8/18–8/21 window: NONE.** EDGAR check of the last 10
  days (through 8/17): only company 6-Ks (8/11 CETIN win, 8/12 Q2 results).
  No 13D/A, no DFAN14A, no meeting notice, no ISS/GL trigger. No 2026 AGM
  noticed yet — a notice 6-K could drop any day and would be new information.
- **The live residual — Lynrock Lake is SELLING.** Its 13D/A of **2026-07-27**
  (EDGAR acc. 0000921895-26-001877) discloses continuous open-market sales
  7/14–7/24 at **$14.17 down to $12.76** (~170K shares in the exhibit), plus a
  Form 144 filed **7/28** for another ~$260K via Barclays. Near-daily 144s ran
  7/14–7/28, then stopped — around the 7/30 guidance-cut gap. Whether selling
  resumed at $10 is **unknown/unverified**; fresh 144s or a new 13D/A are the
  first tell. A ~19% holder who advocated "strategic alternatives" and is
  instead exiting is the single biggest overhang on this tape. (Separate small
  June–July 144s from Rachel (Heli) Bennun — insider-scale, ~$17K, minor.)

## 3. Other items in/near the window

- **Tape-setting events (pre-window):** 7/30 pre-announcement + FY guide cut
  to $57–63M → **−21.1% gap** (12.72→10.03, 1.0M shares); 8/11 CETIN Slovakia
  multi-year win; 8/12 Q2 final results (rev $11.8M, −33.4% YoY; guidance
  unchanged; **intent** to establish a $20–25M buyback) + earnings call.
- **Analyst:** one covering analyst cut PT **$18→$14 on 2026-08-12** citing
  deferred customer spending (MarketBeat/CNN aggregation; **firm not
  independently verified** — Needham is the known Buy/$18 coverage). Nothing
  since.
- **Buyback NOT yet live:** the 8/12 release says the board "decided to move
  forward with the required steps"; Israeli-law approvals pending, timing
  unstated. Approval would be a positive catalyst but is **unlikely inside
  this window** — flagged unscheduled.
- **No conferences** found in the window (last appearance June 3).
  **Fri 8/21 is monthly opex**, but RDCM's option chain is near-nonexistent —
  minimal effect. No dated Israel-macro or 5G-sector events found.

**Bottom line:** no scheduled catalyst Tue–Fri. Four flow days where price is
set by (a) whether Lynrock's exit resumes, (b) residual post-earnings
positioning, (c) any surprise 6-K.

## 5. Expected move

From Yahoo daily closes: **20-day log-return vol = 5.6%/day**, dominated by
the one-off 7/30 −21% gap; **excluding it, 20-day and 10-day vol converge at
~1.9%/day**.

- **Base case (1.9%/day, √4):** 4-day 1σ band ≈ **$9.95–$10.75** (±3.8%).
- **Gap-inclusive (5.6%/day):** 4-day 1σ ≈ $9.19–$11.51 (±11.2%) — what a
  *news* week looks like, not a forecast for this one.
- **Flag:** microcap + $2.2M/day tape + a 19% holder mid-exit + a pending
  buyback approval = **jump risk no realized-vol number captures**. The
  distribution is base-case-narrow with fat filing-driven tails both ways
  (Lynrock resumption gaps down; buyback-approved 6-K gaps up). ~2 in 3 odds
  the week closes inside $9.95–10.75; the tails are event-shaped.

## 6. Financial health one-liner

**$109.7M cash + short-term deposits, zero debt (6/30/2026, Q2 release
8/12)** — ~63% of the ~$173M market cap is cash. Debt/EBITDA trivially clean;
the useful lens is burn: Q2 GAAP loss $3.1M but **non-GAAP profitable for H1
2026**, management guides non-GAAP profitable FY2026 — runway effectively
unlimited. Solvency is not in play; revenue timing and governance are.

**Verdict:** No dated catalyst inside Tue 8/18–Fri 8/21 — expect a thin-tape
drift week, base band ~$9.95–10.75 around the $10 shelf, with two watchable
un-dated triggers (Lynrock 144s = downside tail, buyback approval 6-K =
upside tail); no direction call is honestly available.

**Unverified items:** identity of the 8/12 PT-cut firm; whether Lynrock sold
after 7/28; 2026 AGM date (none noticed); buyback approval timing.
